<p><strong>Renewals Make the World-Go-Round</strong></p>



<p>Renewals make the world-go-round – especially in the world of the Tower Provider. There are renewal terms for every instrument that drives the leasing of infrastructure globally. With that said, Land Leases (a.k.a. Ground Lease, a.k.a. Property Lease) are, arguably, the most sensitive instrument in the Mobile Infrastructure industry – <em>NO land/ground/property equals NO site equals NO revenue</em>. Now, that’s a formula for disaster. While there are several factors involved &#8211; such as Landlord/Tenant relations, lease terms, site tenancy and more – RENEWALS are generally at the top of that list. While Land Lease terms have a general, repeatable format, each lease agreement potentially has its own <em>concessions </em>specific to the site and landlord. At best, Land Lease management is a menagerie of instruments, documents, terms, notices.</p>

	<p>Enterprises hold and analyze a tremendous amount of data. Much of it through organic means from the time of start-up. Later, by inorganic means via M&amp;A activity.  I have been intimately involved in numerous ERP, CRM and CMS implementations over the years – as well as dozens of <em>custom</em> development attempts after a “normalization” of data. It rarely ever works like the organization requires – we won’t begin to talk about timelines (thank goodness for Agile and Scrum). You would often end up conceding to scope creep, abandoning the migration plan, determining a roll-out date for the system and the now “legacy” database is on-the-clock for “lookups” as a repository.</p>
<p>That was then, this is now – and there may be a better way. Single Source of Truth (SSoT) allows access to all your data to be aggregated to a single location. From there you get to select all the versions of the documents, legal instruments, emails, etc. that you need. The challenge with this is, particularly if you run a cell tower leasing organization, there are so many variations of the web of documents that make up the leasing process that sometimes you have to pick what “truth” to accept. Add in a handful of acquisitions and now you have to (1) make sure you have all the legal instruments related to the sale (e.g. Sale-Leaseback or TTA), (2) make sure you have full sets of MLAs, Amendments, SLAs and associated documents and (3) deal with what the “intent” of the language at the time of negotiation and execution. It can get complex fast.</p>
<p>As for SSoT, I often propose that the term itself is a <em>misnomer</em>, especially when applying it to the cell tower leasing industry. Given the vast number of legal instruments involved in leasing property, closing a MLA, constructing a site, getting tenants on that site AND keeping tenants on that site – there is really no SINGLE, there exists only the Source of Truth – made up of all the different legal instruments and associated components that serve to support the revenue reported. Yet, I digress… As the SINGLE component of the acronym is very important. It simply means the SINGLE place to find all that data you own. And I’m fine with that as SSoT has been described by many experts as less of a “thing to implement” and more a state of digital being to be achieved.</p>

<p><strong>The Situation</strong></p>



<p>Tracing paper allows you to copy an image, unless you draw outside the lines – then the image may be ruined. The same principle applies in the tracing of data sets. Most industries have more data than they can control &#8211; whether they’d admit it or not. And then there is the Tower Leasing industry – which has some of the more complex data sets and legal instruments of any industry. As it is often said, IYKYK (if you know you know). Having worked very closely with EVERY department which makes up a tower company, I found that the greatest challenge is sourcing a verified and validated record. Systems get migrated, deal makers leave the company and you’re often left managing a massive amount of disparate, unmapped, and disconnected data sets. And one mismanaged notice on a “Mona Lisa” site could cost you hundreds of thousands when you consider projected revenue (e.g. lease termination), site relocation costs, dismantling, hauling and more.</p>



<p><strong>The Source</strong></p>



<p>A Tower Company’s position on contractual, financial or service-related instruments is wholly and exclusively bound to the System of Record (SOR). When dealing with those records that were inherited through a merger or acquisition, you generally HAD to trust what you saw in the Virtual Data Room. So, you rarely have a complete and accurate picture of what you are seeing during the due diligence phase.  This can greatly impact, not only, the value of the target portfolio, but YOUR company’s long-term value – if you encounter risk you hadn’t prepared for. So, once you begin to consider data migration after the successful transaction, you find it so cumbersome that you decide to keep the original database in its original state as an archive. Oops…</p>



<p><strong>The Reckoning</strong></p>



<p>What happens next is you get a land lease notice to terminate. Then you get another. Then you scramble to analyze if it’s a specific set of leases. Then you wonder if other tranches of assets are vulnerable. The time to be proactive is well past and you’re stuck in a state of reactivity losing valuable time and money. Hopefully it’s just a handful of one-off land/site leases that weren’t aligned with the normal agreement terms assigned to the organic portfolio.</p>



<p>Well, I guess we’ll find out in time… Let’s just hope this doesn’t trigger a compliance incident. </p>
